1. Account Activation
1.1 Account Registration and Eligibility
1.1.1. In order to access and utilize the services offered by CodeHub Technologies LLC (“CodeHub”), all individuals and entities (“Users”) are required to create a registered user account on the CodeHub platform. By registering for an account, the User agrees to comply with and be legally bound by these Terms of Service.
1.1.2. Users must be at least eighteen (18) years of age, or the age of legal majority in their jurisdiction, whichever is greater. By creating an account, the User affirms and warrants that they meet this age requirement. CodeHub does not knowingly permit use of the platform by individuals under the minimum age requirement, and any such use constitutes a violation of these Terms.
1.1.3. By registering, Users agree to provide accurate, complete, and up-to-date information and to promptly update such information as necessary. CodeHub reserves the right to suspend or terminate any account found to contain false or misleading information.
1.2 Account Types and Designation
1.2.1. Users may register under one or more of the following account classifications, depending on their intended use of the platform:
- Seller Account: Enables Users to offer digital services, software development projects, and other technology-related deliverables for sale to other Users.
- Consumer Account: Enables Users to purchase services or digital offerings listed on the platform by Sellers.
- Affiliate Account: Enables Users to earn commission-based compensation by referring new users and/or generating transactions via tracked promotional activity.
- Business Account (optional for future implementation): Designated for companies or legal entities managing teams or operating under a business structure.
1.2.2. Users may not create multiple accounts of the same type without prior written authorization from CodeHub. Account sharing, account transfers, or unauthorized use of another User’s account is strictly prohibited.
1.3 Identity Verification
1.3.1. CodeHub may, at its sole discretion, require Users to undergo identity verification procedures. This may include, but is not limited to, verification via government-issued identification, email address confirmation, phone number verification, or third-party Know Your Customer (KYC) platforms such as Stripe Identity.
1.3.2. Users who fail or refuse to complete the required verification process may be denied access to the platform or have certain features of their account restricted.
1.4 Payment Integration and Financial Accounts
1.4.1. In order to transact on the CodeHub platform, Users are required to integrate a valid and operational payment method. Currently, CodeHub supports integration with the following third-party payment processors:
- Stripe: Required for Sellers and Affiliates to receive disbursements. Stripe accounts must be connected and verified in accordance with Stripe’s terms and may require Users to provide financial, tax, and identity documentation
- PayPal: Will be available as an alternative method for both payment and payout processing. Users must ensure that their PayPal accounts are eligible to receive commercial payments.
1.4.2. Users acknowledge and agree that CodeHub does not store or directly process credit card or banking information. All payment data is processed through secure, PCI-compliant third-party payment providers.
1.4.3. By linking a payment account, the User consents to the use of such services and agrees to be bound by the applicable terms of service of Stripe and/or PayPal.
1.5 Fees, Commissions, and Withholding
1.5.1. Users acknowledge that CodeHub applies service fees, platform commissions, and/or administrative charges to transactions processed through the platform. These fees may vary depending on the User’s account type and the nature of the transaction
1.5.2. The applicable fee schedule, including but not limited to Seller commission rates and Affiliate earnings percentages, shall be disclosed in CodeHub’s [Fee Policy], which is incorporated herein by reference.
1.5.3. Users are solely responsible for any tax obligations arising from earnings or expenditures on the platform. CodeHub may withhold taxes where legally required and shall not be held liable for Users’ failure to report income or comply with applicable tax regulations.
1.6 Use of Account and Restrictions
1.6.1. Users agree to use their CodeHub account solely for lawful purposes and in accordance with these Terms. Any fraudulent, abusive, or otherwise unauthorized activity may result in immediate suspension or termination of the account.
1.6.2. Users may not engage in the following conduct:
- - Creating an account using false or misleading information
- - Circumventing or attempting to circumvent platform restrictions or fee structures
- - Sharing login credentials or granting third parties access to their account
- - Using multiple accounts for deceptive or manipulative behavior.
1.6.3. CodeHub reserves the right to investigate any activity that may violate these Terms or applicable law, and to take appropriate enforcement actions, including but not limited to account suspension, data preservation, reporting to authorities, or legal action.
1.7 Account Suspension and Termination
1.7.1. CodeHub reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate any User account without prior notice if:
- - The User breaches any provision of these Terms
- - The User’s activity is deemed to present legal, financial, or reputational risk to CodeHub
- - Required verification processes are not completed or fail.
1.7.2. Users may voluntarily close their accounts at any time by submitting a written request through their account dashboard or contacting CodeHub support. Upon termination, any remaining funds subject to payout will be processed in accordance with CodeHub’s Disbursement Policy, provided no violation or dispute is pending.

2. Account Terms
2.1 Account Ownership and Responsibility
2.1.1. Each account registered on the CodeHub platform is the sole responsibility of the individual or legal entity who created it (the “Account Holder”). By creating an account, you agree that you are fully responsible for all actions taken under your account, including those by any person with access to your login credentials.
2.1.2. You are solely responsible for maintaining the confidentiality of your login information. Any activity conducted through your account will be presumed to have been authorized by you. CodeHub is not liable for any losses or damages arising from unauthorized access resulting from your failure to safeguard your credentials.
2.1.3. You must notify CodeHub immediately at codehub@email.com if you suspect or become aware of any unauthorized access to your account.
2.2 Account Limitations and Compliance
2.2.1. Each User may operate only one account of each type unless explicitly approved by CodeHub in writing. Operating multiple unauthorized accounts, or creating accounts with misleading or fraudulent information, is strictly prohibited and may result in immediate termination.
2.2.2. You agree to use the platform in full compliance with all applicable laws and regulations, including but not limited to tax laws, export laws, intellectual property laws, and data privacy regulations.
2.3 Transfer and Assignment
2.3.1. Accounts are non-transferable. You may not assign, sell, lease, share, or otherwise transfer your account or any access credentials to any other person or entity.
2.3.2. Any attempt to transfer account ownership without express prior written approval from CodeHub will be considered a breach of these Terms and may result in account termination.
2.4 Content Responsibility and Representation
2.4.1. You are solely responsible for any content or materials you upload, post, publish, or transmit via your CodeHub account. This includes but is not limited to listings, profile information, communications, files, and payment-related data.
2.4.2. By submitting content to CodeHub, you represent and warrant that:
- - You own the content or have full rights and licenses necessary to use, display, and distribute it.
- - The content does not infringe the intellectual property, privacy, publicity, or other legal rights of any third party.
- - The content is not false, misleading, unlawful, or harmful.
2.4.3. CodeHub reserves the right to remove, edit, or restrict access to any content that violates these Terms, is reported as abusive or illegal, or which may otherwise threaten the integrity of the platform or its Users.
2.5 Account Suspension, Restriction, and Termination
2.5.1. CodeHub reserves the right, in its sole and absolute discretion, to suspend, limit, or terminate any account at any time, with or without notice or explanation, including but not limited to the following situations:
- Violation of these Terms or applicable law
- - Submission of fraudulent, deceptive, or inaccurate information
- - Behavior that causes harm or risk to other Users or to CodeHub
- - Suspected misuse, fraud, spam, money laundering, or platform manipulation
- - Refusal or failure to complete required identity or payment verification
2.5.2. Termination may include deletion of your listings, disabling of access, forfeiture of any pending payouts or balances, and permanent deactivation of your account and associated privileges.
2.5.3. CodeHub is under no obligation to provide advance notice prior to account termination. However, we reserve the right to notify law enforcement or regulatory authorities if applicable.
2.6 Data Retention After Account Deletion
2.6.1. Upon voluntary closure or administrative termination of your account, CodeHub will retain associated account data (including transaction records, identification details, and communications) for a minimum period of ninety (90) days, or longer where required by law, regulatory compliance, fraud prevention, or internal audit.
2.6.2. During this retention period, you will not have access to your account. After the retention period ends, your data will be deleted or anonymized in accordance with our Privacy Policy, unless we are legally required or permitted to retain it.
2.7 Inactive Accounts
2.7.1. CodeHub reserves the right to deactivate or archive accounts that have been inactive for a continuous period of twelve (12) months or longer. “Inactive” means no login, no listings, and no transactions.
2.7.2. Prior to deactivation, Users may be notified and provided an opportunity to retain their account. Inactive balances may be subject to applicable handling fees, storage limitations, or statutory escheatment in accordance with local laws.
2.8 Right to Refuse Access and Service
2.8.1. CodeHub reserves the unconditional right to refuse platform access, deny registration, restrict services, or block transactions to any individual or entity for any reason, including but not limited to:
- - Risk to the platform or its Users
- - Compliance with legal or regulatory requirements
- - Suspicion of criminal, abusive, or unethical behavior
- - Any reason deemed necessary to protect CodeHub’s business operations, security, or reputation
2.9 Legal Safeguards and Limitation of Liability
2.9.1. CodeHub disclaims all responsibility and liability for any loss of data, earnings, opportunities, or content resulting from account restrictions, terminations, or user errors.
2.9.2. You agree to indemnify, defend, and hold harmless CodeHub, its officers, directors, affiliates, employees, agents, and contractors from and against any claims, damages, liabilities, or losses arising out of your use of the platform, violation of these Terms, or violation of any applicable law.

3. Your Responsibilities
3.0 Your Responsibilities
This section outlines your obligations as a user of CodeHub. By accessing or using the platform, you agree to comply with all of the following rules, policies, and behavior expectations. Violations of any of these responsibilities may result in immediate termination of your account, forfeiture of funds, legal action, or reporting to relevant authorities.
3.1 Lawful Use of CodeHub
3.1.1. You agree not to use CodeHub for any illegal, unauthorized, or unethical purpose, including but not limited to
- - Engaging in criminal activity
- - Selling or distributing pirated software, malware, or hacking tools
- - Violating local, state, federal, or international law
3.1.2. CodeHub will fully cooperate with law enforcement and may report activity it deems suspicious or in violation of the law.
3.2 Integrity of Use & Platform Safety
You agree not to:
- - Exploit Bugs or Vulnerabilities: Knowingly discover, use, or distribute knowledge of a bug, glitch, or vulnerability in CodeHub’s systems, features, or payment gateways without reporting it immediately to CodeHub.
- - Tamper with Platform Mechanics: Attempt to manipulate visibility algorithms, developer rankings, payment processing, or any other system for unfair advantage.
- - Reverse Engineer or Hack: Attempt to gain unauthorized access to platform systems, accounts, APIs, or data through any form of reverse engineering or penetration.
Violations may result in legal action and financial liability for any damages caused.
3.3 Abuse of Legal Systems or Policies
You may not:
- - File False Claims: Intentionally initiate false reports, complaints, legal threats, or platform disputes with the intention of extorting, harming, or inconveniencing another user or CodeHub.
- - Trigger Legal Loopholes in Bad Faith: Attempt to use legal ambiguity or technicalities to exploit CodeHub’s policies or to trigger chargebacks, unjustified refunds, or claims.
- - Weaponize Legal Tools: Use reporting tools, copyright claims, or platform features to harm others out of malice, revenge, or for competitive advantage.
CodeHub reserves the right to take legal action, restrict access, and report such behavior to appropriate legal entities.
3.4 Responsible Communication and Conduct
You agree to:
- - Maintain respectful, honest, and professional communication
- - Not impersonate any person or entity
- - Not harass, threaten, defame, or bully other users
- - Avoid toxic or divisive behavior, especially in public-facing profiles, messages, or reviews.
3.5 Respect for Privacy and Confidentiality
You may not:
- - Share, publish, or expose personal or private information of any other user without their explicit written consent;
- - Leak project details, source code, or proprietary material entrusted to you as part of a working relationship.
This applies both during active relationships and after termination of a project or account.
3.6 Fair Use of Listings, Offers, and Services
As a user (developer or buyer), you must:
- - Accurately describe your skills, services, or project needs;
- - Deliver on promises made in listings or offers;
- - Not engage in bait-and-switch behavior;
- - Not falsely review, rate, or promote your own content or the content of others with the intent to deceive.
All users must honor agreements unless mutually cancelled or disputed under platform-supported resolution.
3.7 No Circumvention of Payments
All financial transactions must go through CodeHub’s approved systems (currently Stripe; PayPal support coming soon). You must not:
- - Offer or accept direct payments off-platform;
- - Encourage users to work “off the books” to avoid fees or tracking;
- - Manipulate payments to hide earnings or evade taxes.
Violators may be suspended and held liable for lost fees and damages.
3.8 Platform Manipulation or Abuse
You may not:
- - Artificially inflate your profile, reviews, or service visibility;
- - Create multiple accounts for deceptive purposes;
- - Create or join collusion rings, fake profiles, or mass messaging operations.
3.9 Security & Malicious Content
You may not:
- - Upload, send, or link to viruses, trojans, worms, keyloggers, or any other malicious code;
- - Attempt to monitor, scrape, or copy data from the platform in an unauthorized manner;
- - Use bots or automation to interact with the platform unless expressly permitted.
3.10 Cooperation & Reporting
You agree to:
- - Report bugs, vulnerabilities, or violations responsibly;
- - Cooperate in any internal or legal investigation as required;
- - Refrain from obstructing moderation, appeals, or compliance processes.
3.11 Enforcement and Liability
3.11.1. CodeHub reserves the right to restrict, suspend, or permanently remove your access at any time and without prior notice if you are found violating these responsibilities.
3.11.2. We reserve the right to retain data, suspend earnings, or notify third parties (including legal authorities, affected users, or payment providers) in connection with such violations.
3.11.3. You may be held legally and financially responsible for any damages caused to CodeHub, its users, or its partners due to your misconduct, negligence, or abuse.

4. Payment of Fees and Taxes
4.0 Payment, Fees, and Taxes
By using CodeHub, you agree to the following terms related to payments, platform fees, and tax responsibilities. These terms apply to all users including developers, buyers, affiliates, and service providers. Violations of this section may result in account restrictions, balance forfeiture, permanent bans, or legal action.
4.1 Accepted and Authorized Payment Methods
4.1.1. CodeHub currently accepts the following payment methods:
- Stripe (all connected credit/debit cards, Apple Pay, Google Pay, etc.)
- PayPal (standard accounts only; business accounts must comply with PayPal terms)
4.1.2. Additional payment options may be added in the future, including but not limited to:
- - Cryptocurrency (e.g., Bitcoin, USDT, Monero)
- - Bank Transfers
- - Prepaid Debit Cards
- - Gift Card Balances (approved retailers only)
- - Third-party wallets
4.1.3. CodeHub will explicitly announce the addition of new payment methods. Attempting to use unapproved or spoofed payment methods may result in immediate account termination and possible legal reporting.
4.2 Unauthorized Payments and Fraud
4.2.1. You may not use stolen credit cards, hacked PayPal accounts, spoofed financial identities, or unauthorized payment methods on CodeHub.
4.2.2. All transactions are monitored for fraud and abuse. Suspicious activity — including irregular transaction patterns, false disputes, or geographic inconsistencies — may trigger:
- - Automatic account locking
- - Identity verification
- - IP tracking and flagging
- - Notification to payment processors or financial authorities
4.2.3. We cooperate with law enforcement and financial institutions in the case of payment fraud, money laundering, or identity theft.
4.3 Chargebacks, Disputes, and Ban Policy
4.3.1. Filing a chargeback or payment dispute without first contacting CodeHub Support and providing valid justification is a serious breach of contract.
4.3.2. All chargebacks will result in:
- - Immediate account suspension or ban
- - Freezing of all active balances
- - Reversal of platform services
- - Reporting to Stripe, PayPal, and banking authorities
4.3.3. False chargebacks are considered payment fraud and will be pursued legally. Users may be held personally liable for damages caused to CodeHub, including processor fees, legal fees, and damages to brand reputation.
4.3.4. Any chargeback filed against CodeHub services, including subscription plans, project commissions, or dispute resolutions, voids your right to further platform use.
4.4 Platform Fees and Service Charges
4.4.1. CodeHub collects platform service fees from completed transactions. These may include:
- - A percentage commission from seller revenue
- - A processing fee for buyers using payment methods
- - Premium listing fees or subscription packages
4.4.2. All fees are visible during checkout or withdrawal. By transacting on CodeHub, you agree to all posted and future fee structures.
4.4.3. Platform fees are non-refundable, except in rare platform error cases confirmed by CodeHub staff.
4.5 Currency Handling & Conversions
4.5.1. All CodeHub transactions are processed in U.S. Dollars (USD) unless otherwise specified.
4.5.2. If a payment is made in another currency, your processor (e.g., PayPal or Stripe) may automatically convert it to USD using their exchange rate.
4.5.3. CodeHub is not responsible for currency conversion fees, losses due to fluctuation, or processing delays caused by financial institutions.
4.6 Refund Policy
4.6.1. Refunds are not guaranteed and are issued only at CodeHub’s discretion.
4.6.2. Valid refund requests must meet all of the following:
- - The buyer contacts CodeHub support with documentation within 7 days
- - There is no evidence of delivery or gross misrepresentation of services
- - No part of the project was accepted, downloaded, or completed
4.6.3. Refunds will not be issued in the following cases:
- - Buyer’s remorse
- - Custom work already delivered or partially completed
- - Delays caused by user failure to respond or communicate
- - Misuse of code, scripts, or tools after delivery
4.6.4. If a refund is granted, it will exclude platform fees and may take up to 10 business days to process.
4.7 Payouts, Earnings, and Withdrawals
4.7.1. Sellers and affiliates may request payouts after a clearance period of 7–14 days post-order completion. Longer delays may apply in cases of:
- - Account age and trust score
- - Prior disputes or chargebacks
- - Risk-related flags
4.7.2. Withdrawal thresholds and timelines will be made available in your dashboard. CodeHub reserves the right to:
- - Require identity verification
- - Impose payout minimums
- - Temporarily freeze or delay payouts during audits or investigations
4.7.3. Users found abusing the system (e.g., spamming for payouts, faking orders, withdrawing funds from suspicious accounts) will forfeit all current and future earnings.
4.8 Taxes and Reporting Obligations
4.8.1. CodeHub does not collect or pay income taxes on your behalf unless legally required by local law.
4.8.2. You are solely responsible for reporting any income earned through CodeHub to your local, state, or federal tax authorities.
4.8.3. CodeHub may request, store, and verify tax documents (e.g., W-9, W-8BEN, VAT ID) to remain compliant with financial reporting laws.
4.8.4. Failure to provide necessary documentation may result in payout delays or account restrictions.
4.9 Misuse and Platform Abuse
4.9.1. You may not use CodeHub to:
- - Launder money or conceal funds
- - Circumvent trade sanctions or country bans
- - Falsify transaction activity for profit
- - Share or distribute platform vulnerabilities
- - Coordinate malicious legal activity, spam complaints, or financial sabotage
4.9.2. Any attempt to manipulate the platform, game the payout system, or exploit payment terms will result in:
5. Additional Services
5.0 Additional Services
This section governs the use of services, programs, and integrations that extend beyond CodeHub’s core platform but are directly connected to its brand, functionality, or revenue-generating operations. These include but are not limited to affiliate programs, partnerships, API usage, promotional campaigns, third-party applications, and external payment channel integrations.
5.1 Affiliate and Referral Programs
5.1.1. CodeHub may offer users the ability to participate in affiliate or referral programs in exchange for commissions or platform rewards.
5.1.2. All affiliate links must:
- - Only be shared through legal and ethical means
- - Clearly disclose the affiliate relationship
- - Redirect only to official CodeHub domains or subdomains
- - Not be shared through unsolicited messages, spam, misleading ads, or fake endorsements
5.1.3. CodeHub reserves the right to:
- - Audit affiliate activity at any time
- - Withhold or reverse affiliate earnings due to suspicious activity
- - Ban affiliates who engage in fraud, misrepresentation, traffic spoofing, or abuse of our terms
5.1.4. Affiliate commissions are subject to our payout clearance, minimum earnings, and verification protocols as outlined in Section 4.
5.2 Use of External Payment Gateways and Integrations
5.2.1. Users may not attempt to bypass CodeHub’s official checkout systems or request/accept direct payment outside of CodeHub for services listed or discussed on the platform.
5.2.2. Any transaction initiated off-platform (e.g., through DMs, Discord, or personal websites) that originated from CodeHub will be considered under our Terms of Service, and users may be held responsible for fraud, misrepresentation, or evasion of platform fees.
5.2.3. Violating this clause will result in:
- - Termination of all active services
- - Loss of access to affiliate or seller features
- - Confiscation of current and pending balances
- - Permanent ban and potential legal referral
5.3 Influencer Partnerships and Sponsored Promotion
5.3.1. Influencers, YouTubers, or other digital creators who promote CodeHub must:
- - Have written or digital approval from CodeHub staff
- - Follow FTC guidelines for disclosure of sponsorship or affiliate relationships
- - Accurately describe the services and not mislead users or distort functionality
5.3.2. Any content promoting CodeHub must not:
- - Use clickbait, false pricing, or unauthorized discount codes
- - Encourage TOS-violating behavior such as black hat services or unverified account sales
- - Present CodeHub as endorsing illegal, political, or adult content unless explicitly approved
5.3.3. CodeHub reserves the right to:
- - Request removal of promotional content
- - Deny or revoke partnership status at any time
- - Demand corrections to false or misleading claims
5.4 API Access and Developer Tools
5.4.1. CodeHub may offer API access or developer integrations to approved partners or services.
5.4.2. Any use of our APIs must:
- - Comply with rate limits and access control
- - Not replicate, mirror, or clone platform functionality
- - Not collect or store user data without explicit consent
- - Not modify, redirect, or interfere with official payments, orders, or content
5.4.3. CodeHub may revoke API access at any time, for any reason, including security threats, abuse, or legal risks.
5.5 Off-Platform Services, Links, and Interactions
5.5.1. CodeHub is not responsible for any interactions, purchases, or communications that occur off-platform, even if initiated by a connection made through CodeHub.
5.5.2. You are strictly prohibited from:
- - Offering your CodeHub services on third-party platforms using the same branding or deliverables
- - Soliciting other users to leave the platform for business purposes
- - Embedding CodeHub services or listings on unauthorized external websites
5.5.3. If your off-site behavior reflects negatively on the CodeHub brand or is used to bypass our controls, we reserve the right to terminate your account, revoke licenses, and ban future access.
5.6 Legal Responsibility for Off-Platform Misuse
5.6.1. Users may be held legally accountable for damages, fraud, or misrepresentation caused by:
- - External redirection to phishing or scam sites
- - Abusing affiliate or payment systems for profit
- - Misleading the public about CodeHub’s features, services, or staff involvement
5.6.2. CodeHub may cooperate with legal entities, platforms, and regulators in response to abuse originating from your off-platform actions.
6. Codehub Rights
6.0 CodeHub Rights
This section outlines the full extent of rights retained by CodeHub over its platform, services, technology, brand, and operations. By using CodeHub, you acknowledge and agree to these rights and limitations without exception. Failure to comply may result in account termination, forfeiture of funds, legal action, and damages sought to the fullest extent permitted by law.
6.1 Ownership of Platform and Content
6.1.1. CodeHub, including but not limited to its platform design, user interface, codebase, functionality, business processes, algorithms, graphics, branding, and content, is the sole and exclusive property of CodeHub and its licensors.
6.1.2. Use of the platform does not grant any ownership, licensing, or transfer of intellectual property rights to users, affiliates, developers, sellers, or buyers.
6.1.3. Users may not:
- - Reverse engineer, decompile, or modify any part of the platform
- - Attempt to replicate or clone CodeHub’s services, layout, or backend systems
- - Use CodeHub’s name, logo, designs, or materials without explicit written consent
- - Create derivative works based on CodeHub systems or branding
6.2 User-Submitted Content and Listings
6.2.1. When you submit content to CodeHub (including listings, reviews, profile data, or service materials), you grant CodeHub a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, display, distribute, and promote that content in connection with the platform’s operation and marketing.
6.2.2. You waive all claims of attribution, compensation, or removal requests for your content as long as it is lawfully submitted through CodeHub.
6.2.3. CodeHub may delete, archive, or alter any user-submitted content at its sole discretion for moderation, legal, or business purposes without notice.
6.3 Enforcement and Legal Action
6.3.1. CodeHub reserves the absolute right to pursue legal action against any user, entity, or third party that:
- - Violates these Terms of Service
- - Attempts to compromise platform integrity or security
- - Damages the CodeHub brand, business, or operations
- - Engages in legal abuse (e.g., false claims, frivolous disputes, coordinated harassment)
6.3.2. Legal pursuit may include, but is not limited to:
- - Filing civil or criminal lawsuits
- - Seeking monetary damages, injunctive relief, and attorney’s fees
- - Reporting to law enforcement, regulatory bodies, and financial institutions
- - Banning all known accounts and associated IPs/devices

You agree to fully defend, indemnify, and hold harmless CodeHub and its officers, directors, employees, contractors, agents, licensors, affiliates, successors, and assigns from and against any and all claims, demands, liabilities, losses, damages, obligations, costs, expenses, or fees (including reasonable legal and accounting fees) that arise from or relate to:

- - Your violation of any provision of these Terms of Service
- - Any claim that content submitted by you caused damage to a third party
- - Any breach of a representation or warranty made by you
- - Any dispute between you and another user (e.g., customer or seller)
- - Any misuse of payment gateways or fraudulent financial activity
- - Any violation of applicable laws, regulations, or third-party rights
- - Your failure to perform contractual obligations to other users on the platform
- - Your abuse of any system, feature, or discovered vulnerability in the platform
CodeHub reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims and not to settle any matter without our prior written consent.
12.4 Third-Party Liability
CodeHub is not liable for the actions, omissions, content, or services provided by third parties, including but not limited to:
- - Payment processors (e.g., Stripe, PayPal)
- - Hosting providers, advertisers, or affiliate platforms
- - Linked websites or platforms
- - Other users of the service (e.g., buyers, sellers, affiliates)
Any issue or dispute with a third party must be addressed directly with that party.
12.5 Release
To the maximum extent permitted by law, you hereby release CodeHub and its officers, employees, agents, affiliates, and successors from any and all claims, demands, and damages (actual and consequential) of every kind and nature arising out of or connected with:

- - Any loss or harm due to services rendered via the platform
- - Any platform outages, bugs, or delays
- - Any breach of agreement by a third-party service provider
If you are a California resident, you waive California Civil Code Section 1542, which states:
“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release, and that if known by them would have materially affected their settlement with the debtor or released party.”
13. Term and Termination
13.0 Term and Termination
This section governs the duration of your legal agreement with CodeHub and outlines the rights, obligations, and consequences applicable when either party chooses to terminate, suspend, or otherwise limit use of the CodeHub platform.
13.1 Term of Agreement
These Terms of Service become effective upon your first access to or use of the CodeHub platform and will remain in effect unless and until terminated by either you or CodeHub, in accordance with this section.
You agree that you are bound by these Terms as long as:
- - You hold a registered account with CodeHub, regardless of activity level;
- - You access or interact with the platform in any capacity, including browsing listings, making purchases, or engaging as a seller, buyer, affiliate, or third-party integrator;
- - Your data remains in CodeHub’s systems under any active retention period;
- - You are involved in any legal, financial, or contractual obligations related to CodeHub, its users, or its business model.
13.2 Voluntary Termination by User
You may voluntarily terminate your use of CodeHub at any time by:
- - Deactivating or deleting your account through the user dashboard; or
- - Submitting a written account closure request to legal@codehub.com.
Upon voluntary termination:
- - Access to your account will be disabled immediately or at the next billing cycle (if applicable);
- - All user-generated content, including listings, portfolios, reviews, and transactions, may be permanently removed from public view;
- - Any open orders, contracts, or pending disputes must be resolved before termination is finalized;
- - CodeHub reserves the right to withhold final payout amounts if fraudulent or suspicious activity is detected before or during the closure process;
- - Refunds, if any, will be governed strictly by the refund policy applicable to your user type and jurisdiction.
13.3 Termination by CodeHub
CodeHub reserves the right, in its sole and absolute discretion, to suspend, limit, or terminate your access to the platform, without notice or liability, under the following (but not limited to) conditions:
- - Breach of any provision of these Terms or applicable policies;
- - Use of the platform for fraudulent, misleading, or deceptive purposes;
- - Circumventing or attempting to circumvent platform policies or fees;
- - Engaging in abusive, harassing, discriminatory, or threatening behavior toward staff or users;
- - Repeated chargebacks or payment disputes without valid grounds or prior contact;
- - Distribution of harmful software, malware, or code through CodeHub listings;
- - Engaging in manipulation of platform mechanisms, such as false reviews, artificial inflation of reputation, or market distortion;
- - Abuse of platform bugs, exploits, or vulnerabilities without reporting them;
- - Deliberately initiating or encouraging legal proceedings in bad faith;
- - Attempting unauthorized access to data, systems, or accounts;
- - Sharing or publishing personal or sensitive information of other users without consent;
- - Directing users off-platform in a manner that violates our rules (e.g., avoiding fees).
CodeHub may take immediate action—including but not limited to account deletion, IP bans, payout freezes, and legal escalation—without prior warning when necessary to protect the platform or its users.
13.4 Involuntary Suspension or Account Hold
Accounts may be suspended temporarily or placed under administrative hold due to:
- - Investigation of suspicious activity;
- - Pending chargeback or dispute resolution;
- - Potential legal proceedings or subpoena;
- - Requested law enforcement assistance;
- - Enforcement of regulatory or compliance obligations;
- - Identity verification or document revalidation.
Suspended accounts may have restricted access to funds, features, and content until resolution is achieved. CodeHub is under no obligation to disclose the full details of an ongoing investigation while it is active.
13.5 Account Deletion and Data Retention
Upon account closure, either by you or by CodeHub:
- - We may retain your account and transactional data for a minimum of ninety (90) days for security, auditing, and legal compliance purposes;
- - Such data may include your IP history, financial transactions, listing details, communication logs, and any disciplinary history;
- - We may retain data longer if required by applicable law or to comply with active investigations or court orders;
- - Personal information will be stored in accordance with our Privacy and Data Protection Policy (referenced in Section 11.0);
- - Any obligations arising prior to the date of termination—such as fees owed or legal violations—shall survive the termination of this agreement.
13.6 Refunds, Final Payouts, and Account Balance
Users whose accounts are terminated by CodeHub due to violation of these Terms forfeit all rights to refunds, balances, and pending payouts. In such cases:
- - Account balances may be held or redirected to cover damages, disputes, or legal claims;
- - Payouts may be delayed until all disputes or investigations are resolved;
- - Refunds for consumers will follow the refund policy associated with each transaction and CodeHub is under no obligation to issue refunds beyond those conditions.
13.7 Legal and Financial Survival
Termination does not absolve either party from prior or ongoing legal or financial obligations. The following items will survive termination:
- - Rights granted to CodeHub in relation to intellectual property and user content (Section 6 and Section 7);
- - Any outstanding claims, debts, or liabilities incurred prior to termination;
- - Confidentiality, indemnification, and limitation of liability clauses (Sections 10, 11, and 12);
- - Dispute resolution and governing law provisions (if applicable in future Sections);
- - Data retention rights and obligations as defined by law and Section 13.5.
13.8 Multiple or Repeated Offenses
If your account is terminated, you are prohibited from creating another account without express written consent from CodeHub. We reserve the right to block associated email addresses, IP ranges, payment methods, or device identifiers in order to prevent platform abuse.
Multiple or repeat violations, especially involving manipulation, fraud, or unlawful conduct, may result in legal proceedings and damages being sought by CodeHub.
14. Modifications
14.0 Modifications to the Terms of Service
This section governs CodeHub’s right to modify, revise, or amend the Terms of Service and related documents, as well as the obligations and acknowledgments of all users in response to such changes.
14.1 Right to Modify Terms
CodeHub reserves the exclusive and unilateral right to change, modify, add, or remove provisions of these Terms of Service, and any associated policies or agreements, at any time and without prior consent from users. This includes, but is not limited to:
- - Changes to payment processors or transaction terms;
- - Modifications to the roles, rights, and responsibilities of Buyers, Sellers, Affiliates, or third-party promoters;
- - Adjustments to platform features, pricing, fee structures, or eligibility criteria;
- - Updates to legal documents including but not limited to the Privacy Policy, Community Guidelines, Refund Policies, and Acceptable Use Policies;
- - Revisions for compliance with local, national, or international regulations;
- - Updates required for risk mitigation, platform security, or business continuity.
14.2 Notification of Changes
For material changes, CodeHub will make a reasonable effort to notify users through one or more of the following channels:
- - Sending an email notification to the account holder’s registered email;
- - Displaying a prominent in-platform notice (e.g., banner or pop-up);
- - Posting an update via an official changelog or blog post;
- - Noting the “Effective Date” revision at the top of the Terms of Service document.
It is the user’s responsibility to regularly check for updates and ensure that their account information, including email address, is current. CodeHub assumes no responsibility for a user’s failure to receive notification due to outdated or incorrect contact information.
14.3 Binding Acceptance of Modifications
Continued access to or use of CodeHub’s services after the effective date of any changes constitutes a binding acceptance of those changes. Users who do not agree with the updated Terms must immediately:

- - Delete their account through the proper procedure;
- - Contact CodeHub if clarification is needed prior to continued use.
Non-compliance or continued use after an update, while expressing disagreement, does not exempt a user from being bound by the revised Terms.

These Terms, including any modifications, constitute the entire and exclusive agreement between CodeHub and the user. All prior verbal or written communications, agreements, representations, or promises are superseded by the latest version of this document.
14.6 Waiver of Right to Contest Changes
By using CodeHub, you waive any right to challenge or contest the enforceability of these Terms on the basis that you did not read or receive direct notice of the changes. Your obligation to remain informed and compliant remains continuous throughout your use of the platform.
15. Codehub Contracting Party
15.0 Contracting Party
This section outlines the legal relationship between you and CodeHub, emphasizing that CodeHub is a neutral digital platform and does not act as an employer, representative, or contractor for users who participate in transactions or services on the site. By agreeing to these Terms of Service, you acknowledge and accept the following:
15.1 Nature of CodeHub’s Role
CodeHub operates solely as an online platform that facilitates the exchange of services between independent users, including but not limited to developers, sellers, buyers, affiliates, marketers, and third-party promoters.
CodeHub does not:
- - Act as an employer, agent, or legal representative of any user;
- - Create, supervise, or enforce the terms of service agreements between Buyers and Sellers;
- - Control, dictate, or interfere with the work methods, service scope, or delivery timelines of any Seller or user;
- - Provide professional licensing, certifications, or verifications unless explicitly stated on the platform;
- - Guarantee the quality, legality, accuracy, or suitability of services offered by Sellers;
- - Take ownership or liability for services rendered, or outcomes delivered through user-to-user transactions.
Each transaction, agreement, or service engagement initiated on CodeHub is a direct contractual arrangement between the respective users (e.g., Buyer and Seller), and CodeHub is not a party to such contracts.
15.2 Independent Contractor Status
All users offering services through CodeHub do so as independent contractors or freelance professionals. CodeHub does not hire, onboard, or compensate these users as employees. Sellers and service providers:
- - Are responsible for determining their own service prices, packages, work schedules, delivery timelines, and communication practices;
- - Must maintain full legal and professional responsibility for their own operations, including licenses, permits, or other regulatory compliance as required by local, state, or federal law;
- - Acknowledge that they will not be eligible for any benefits provided to employees of CodeHub (e.g., health insurance, paid leave, workers’ compensation, unemployment insurance, etc.);
- - Have no authority to bind CodeHub legally or financially, nor may they claim to represent CodeHub in any formal or informal capacity without prior written approval.
Engaging in services on the platform does not create any employment, partnership, franchise, or joint venture relationship between the user and CodeHub.
15.3 Responsibility for Taxes and Reporting
As independent users, you are solely responsible for determining and fulfilling your tax obligations. This includes but is not limited to:
- - Reporting income to tax authorities;
- - Issuing appropriate tax documentation, such as invoices, receipts, or tax IDs, to your clients or buyers;
- - Collecting, remitting, and declaring any applicable sales, use, value-added, or income taxes required by law;
- - Complying with any international, federal, state, or local tax regulations applicable to your jurisdiction or business activity.
CodeHub does not withhold income taxes, provide W-2 or 1099 forms (unless legally required in certain jurisdictions), or offer tax advice. Sellers and affiliates must consult with their own tax professionals for compliance.
15.4 No Guarantee of Earnings or Success
By creating an account or offering services on CodeHub, you acknowledge that:
- - CodeHub does not guarantee any number of views, listings, clients, transactions, or earnings;
- - CodeHub may algorithmically or manually feature, promote, demote, remove, or restrict visibility of any user listing or profile at its sole discretion;
- - The success or failure of any service offering depends entirely on user effort, demand, marketplace competition, quality of services, reputation, and market conditions.
CodeHub has no obligation to provide marketing, sales generation, or client acquisition assistance.
15.5 Marketing Affiliates, Influencers, and Third Parties
If you engage with CodeHub through an affiliate program, influencer agreement, referral system, or off-site promotion, the following apply:
- - You are not considered an employee, agent, or legal partner of CodeHub;
- - Any promotions, representations, or advertisements you share must be truthful, legally compliant, and not misleading;
- - You may not present yourself as a legal representative of CodeHub unless under an official, signed agreement;
- - You agree to comply with applicable marketing laws, such as the FTC guidelines on endorsements, disclosure rules, and regional consumer protection laws.
Misuse of affiliate or promotional privileges may result in immediate suspension or permanent termination from the platform.

CodeHub may offer or facilitate access to third-party tools (e.g., Stripe, PayPal, email providers, code repositories) as part of the user experience. These tools are governed by their own terms, and:

16.1 Entire Agreement
The Terms of Service, along with any policies, guidelines, or agreements referenced herein, represent the entire agreement between CodeHub and the user. Any previous agreements, whether written or oral, are superseded by this document. This agreement constitutes the entire understanding between you and CodeHub regarding your use of the platform and the services provided.
16.2 Severability
If any provision of these Terms of Service is found to be unlawful, void, or unenforceable by any court or governing authority, such provision shall be deemed severed from this agreement and shall not affect the validity and enforceability of the remaining provisions. The terms of this agreement shall continue to be enforceable to the fullest extent possible.
16.3 Force Majeure
CodeHub shall not be liable for any failure or delay in its performance due to causes beyond its reasonable control, including but not limited to natural disasters, power failures, labor disputes, governmental actions, network disruptions, or any event of force majeure. In the event of such a delay, CodeHub will make reasonable efforts to mitigate the impact of the delay and resume its normal operations as soon as possible.
16.4 Waiver
The failure of CodeHub to enforce any right or provision of these Terms of Service shall not be deemed a waiver of such right or provision. No waiver of any breach or default of these Terms shall be deemed a waiver of any subsequent breach or default.
16.5 Assignment
CodeHub reserves the right to assign, transfer, or sublicense its rights and obligations under these Terms of Service to any third party without your consent or notice. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of CodeHub.
16.6 No Joint Venture or Partnership

These Terms of Service are solely for the benefit of CodeHub and the users. They do not confer any rights to third parties, nor are they intended to create any rights or obligations in favor of third-party beneficiaries. Third parties are not entitled to any benefits or claims under these Terms.
16.9 Electronic Communications
By using the CodeHub platform, you consent to receive electronic communications from CodeHub. These communications may include updates, service-related notices, marketing materials, and other correspondence related to your account and services. You agree that all agreements, notices, disclosures, and other communications provided to you electronically meet the legal requirements for written communication.
16.10 Subcontracting
CodeHub may subcontract or delegate the performance of certain services to third parties. These third parties will be bound by the same confidentiality and compliance obligations that CodeHub has agreed to. However, CodeHub will remain fully responsible for the performance of all services under these Terms, regardless of any subcontracting arrangements.
16.11 Relationship to Other Agreements
In the event of a conflict between the provisions of these Terms of Service and any other agreement between you and CodeHub, the provisions of the other agreement will prevail. However, in the absence of such an agreement, the provisions of these Terms will govern.

16.14 Payment Gateway Limitations
You acknowledge that CodeHub uses third-party payment processors, such as Stripe and PayPal, for processing payments. While CodeHub works diligently to ensure that all payments are processed securely and efficiently, CodeHub is not responsible for any issues arising from the payment processor’s performance, including but not limited to payment delays, processor errors, or system downtime. Any payment disputes or errors should be directed to the respective payment processor’s support team.
16.15 Publicity
CodeHub reserves the right to use your name, company name, and other details about your profile and services for promotional purposes in any form of marketing materials, advertisements, or public communications. If you do not wish to participate in such promotions, you must notify CodeHub in writing. You can opt-out of being featured publicly at any time through your account settings or by contacting support.
16.16 Survival of Provisions
Certain provisions of these Terms of Service, by their nature, are meant to survive termination of your use of the CodeHub platform. These provisions include, but are not limited to, sections regarding intellectual property, dispute resolution, indemnification, and liability limitations. Any obligation that you owe to CodeHub or any rights granted to CodeHub shall survive the termination or expiration of these Terms.
16.17 User Dispute Resolution
In the event of any dispute between users (for example, between Buyers and Sellers), you agree that CodeHub is under no obligation to intervene or mediate such disputes. CodeHub encourages users to resolve disputes amicably, but in cases of escalated conflict, you agree to first attempt informal resolution through CodeHub’s customer support channels. If informal resolution is not possible, the dispute shall be resolved through binding arbitration as specified in Section 16.18.
16.18 Arbitration and Dispute Resolution
Any dispute or claim arising from these Terms of Service or your use of CodeHub’s platform that cannot be resolved through informal methods shall be resolved by binding arbitration. The arbitration process will take place in a location designated by CodeHub, and you agree to comply with the arbitration rules.
